For establishing a Mainland (LLC) business in Dubai, there are two types of sponsors:
Local Sponsor:
The local sponsor is an Emirati national shareholder, holding 51% in the establishment of your Mainland business.
With exclusive power of attorney from these local sponsors and all the powers of managing the company, we, as business setup consultants, offer you peace of mind and complete confidence.
Full operational powers will be granted to you as an expatriate shareholder or to your representative, usually appointed as the company manager. This will be stated in the memorandum of association.
Corporate Sponsor:
A corporate sponsor is a legal business entity wholly owned by a UAE national. Unlike the local sponsor in Dubai, the corporate sponsor is a business owned by Emiratis. However, you can retain the power to manage the business, and 100% of financial benefits can be transferred to you.
Corporate sponsorship for setting up a Mainland business in Dubai is often preferable as the company’s management is available at all times. The operations of the newly proposed company will not be hindered even in the event of the death of the UAE national since 51% of the shares are held by a company and not an individual.
This gives business owners a higher sense of financial freedom and security.
It is essential to renew your trade license before its expiration in the UAE. There is a penalty for each day the trade license is not renewed. Failure to renew your trade license will result in a ban on all licenses held by shareholders, thus freezing all their commercial activities.
According to the rules and regulations established by the Dubai Economic Development Authority (DED), an entity conducting its activities without a permit would be fined 5000 AED.
An additional amount of 250 AED would be charged if the license is not renewed within the period specified by the DED. Similarly, an establishment overlapping with an existing operating license may make the investor liable to a fine of 2000 AED.
However, there is a 30-day period after the expiration of the commercial license during which the company can either renew the commercial license or cancel it.
Trade License Renewal for a Mainland Company:
The renewal of a trade license for a mainland company may seem straightforward but can sometimes be complicated, especially when it involves approvals from various public ministries other than the DED (Department of Economic Development).
Typically, the following documents are required:
- Copy of the current license
- Lease agreement and Ejari certificate
Depending on your activity, some documents need approval from an external ministry. The duration of renewing a normal trading license usually takes 1 to 2 business days. If additional external approvals are required, the process may take seven business days.
Trade License Renewal for a Free-Zone Company:
The renewal of the trade license for a free-zone company varies from one free zone to another and the type of package you have benefited from. Here are some mandatory documents required for the renewal of a commercial license in a free zone:
- Copy of the commercial license or original document depending on the free zone (some free zones require an audit report).
- Renewal of the P.O box confirmation.
- Copy of the shareholder’s passport.
- Other documents depending on your activity and the chosen free zone. The duration of renewing the commercial license depends on the free zone and can range from 1 to 3 business days.
In the United Arab Emirates, it is mandatory to renew your immigration card before its expiration. There is a penalty if the renewal of your card is not carried out. Non-renewal will result in a freeze on all your new visa requests. Here are the documents required for the renewal of the immigration card:
- Completed card application.
- Old immigration card.
- Copy of the valid commercial license.
- Copy of the added number of DED partners’ names if the company is an LLC.
- Signature of authorized signatories, with copies of passports.
- Legalized certificates of the owner.
- Copy of the lease agreement.
- Passport photo of sponsors and owners.
- Passport of the local sponsor or service agent.
Import duties on goods into the UAE (outside of free zones) are set at 5%.
