Which structure should a foreign business choose when entering Mainland China?
Choosing how to establish a presence in Mainland China is one of the first major decisions for an international business. Common options may include a wholly foreign-owned structure, a joint venture or a representative office. Each serves a different purpose, and the most suitable route depends on factors such as ownership, business activity, licensing, staffing and long-term commercial plans.
WFOE
A WFOE, commonly used to describe a wholly foreign-owned company structure, allows foreign investors to establish a business without a local equity partner, subject to the activity and regulatory position. For some businesses, this can provide greater control over local operations and decision-making. However, the structure should not be selected simply because it is familiar; businesses should first consider what activities they intend to carry out, how they plan to generate revenue and what local operating requirements may apply.
Joint Venture
A joint venture involves both foreign and Chinese ownership. This route may be relevant where a local partner brings commercial value, industry knowledge, market access or other practical advantages. The relationship between the parties is therefore just as important as the legal structure itself.
Euro Accounting can help businesses consider the financial and practical implications of different market-entry routes before the setup process begins.
Representative Office
A representative office is generally used for activities such as liaison, market research and business support. It is not the same as establishing a fully operational trading company. For businesses planning wider commercial activity, another structure may be more suitable.
Look beyond registration
The choice of structure can affect much more than registration. Businesses should also consider tax and VAT, hiring and payroll, banking, contracts, invoicing, accounting and reporting, and future restructuring or expansion. A good market-entry decision therefore starts with the commercial model rather than the paperwork.
Euro Accounting supports international businesses with market-entry considerations, company setup, accounting, tax and ongoing financial support.
